Terms of service

These terms are an agreement between you and Scaler Limited ( “we”, “us”), a New Zealand company that operates Prosper ai. By creating an account or using the service, you agree to these terms. If you use Prosper ai for an organisation, you confirm you're allowed to accept them on its behalf.

Prosper ai helps you write, design, send and track proposals, and collect electronic signatures on them. We may add, change or remove features over time. If we remove something important to a paid plan, we'll give you reasonable notice.

Keep your sign-in details secure and tell us straight away if you think someone has accessed your account. You're responsible for what happens in your account, including actions by people you invite to your organisation.

• Paid plans are billed in advance, monthly or yearly, and renew automatically until you cancel. Payments are processed by Stripe.
• You can cancel any time from your billing settings. Your plan stays active until the end of the period you've paid for, and won't renew after that.
• Payments aren't refundable, including for partly used periods or unused credits, except where the law requires a refund or we decide to offer one.
• Each plan includes usage limits, such as AI generations. When you reach a limit, you can upgrade or buy extra credits.
• We may change prices. We'll tell you at least 30 days before a change affects your next renewal.
• If a payment fails, we may pause paid features until it's resolved.

You own the proposals and other content you create or upload. You give us permission to host, process and display it only as needed to run the service for you, for example to show a proposal to the people you send it to.

You're responsible for your content and for having the right to use it, including images, logos and the personal information of your clients. When you send a proposal, you're responsible for handling your recipients' information lawfully. Our privacy policy explains how we process it for you.

AI features can make mistakes. Check drafts, prices and terms before you send a proposal. You're responsible for what you send, and for making sure it's accurate and suitable for your client.

We provide tools to collect electronic signatures and keep a record of how each signature was made. Whether a signed proposal is a binding contract depends on its content and on the laws that apply to you and your client. We aren't a party to your agreements and don't give legal advice.

You agree not to:

• break the law, or infringe anyone else's rights;
• send spam, or content that is deceptive, harmful or abusive;
• try to access other accounts, or disrupt or overload the service;
• copy, resell or reverse engineer the service, or use it to build a competing product.

The Prosper ai software, design, templates and brand belong to us or our licensors. You may use our templates to make your own proposals, but not redistribute them on their own.

You can stop using Prosper ai and close your account at any time. We may suspend or close an account that breaks these terms or puts the service or other users at risk. Where it's reasonable, we'll warn you first. After an account is closed, we may delete its content, so export anything you need beforehand.

We work hard to keep Prosper ai reliable, but we provide it “as is” and can't promise it will always be available or error-free. You use the service for business purposes, so the Consumer Guarantees Act 1993 doesn't apply, as far as the law allows.

As far as the law allows, we aren't liable for indirect or consequential losses, such as lost profits, revenue, data or business opportunities. Our total liability to you is limited to the amount you paid us in the 12 months before the claim.

We may update these terms. If a change is significant, we'll let account holders know at least 14 days before it takes effect. If you keep using the service after that, you accept the new terms.

These terms are governed by New Zealand law, and the New Zealand courts have jurisdiction over any dispute.
